What was the ZimVie transaction?
On March 1, 2022, Zimmer Biomet distributed 80.3% of its interest in ZimVie to existing stockholders of Zimmer Biomet (NYSE: ZBH) stock. Holders of Zimmer Biomet common stock received one share of ZimVie common stock for every 10 shares of Zimmer Biomet common stock held on the record date, February 15, 2022.
How many shares of ZimVie common stock did I receive in the transaction?
Stockholders who held shares of Zimmer Biomet stock as of the February 15, 2022 record date, and did not sell their rights to receive ZimVie stock before the March 1, 2022 distribution date, received one share of ZimVie common stock for every 10 shares of Zimmer Biomet common stock they held. If you were entitled to receive a fraction of a share of ZimVie common stock, the enclosed check represents cash in lieu of a fractional share.
How will the transaction affect my Zimmer Biomet shares?
The transaction will have no impact on the number of shares of Zimmer Biomet common stock you own. Unless you sold or otherwise disposed of your Zimmer Biomet shares, you will continue to own the same number of shares of Zimmer Biomet common stock before and after the spinoff. This transaction adds ZimVie common stock to your portfolio.
Is this a taxable transaction?
It is expected that the receipt of ZimVie common stock in this transaction will be tax‐free to Zimmer Biomet stockholders.
How were my shares of ZimVie issued?
All whole shares of ZimVie common stock were issued in direct registration (book‐entry) form by ZimVie’s transfer agent, Computershare. Computershare has recorded your ZimVie shares on its books. Zimmer Biomet stockholders entitled to receive ZimVie common stock are receiving the enclosed Transaction Advice as evidence of ownership of ZimVie shares and, if applicable, a check representing the value of any fractional share of ZimVie. Please retain this Transaction Advice document for your files.
What is the Direct Registration System and what are its benefits?
The Direct Registration System (DRS) is a no‐cost service that allows your ZimVie shares to be recorded and tracked electronically without having a physical stock certificate issued. With DRS, you retain full ownership of your shares, as well as all of the voting and other rights and privileges of being a ZimVie stockholder. DRS provides an attractive and convenient alternative to holding physical stock certificates.
May I request a physical stock certificate for my ZimVie shares?
Yes, please call Computershare at 1‐888‐552‐8493 or visit their website at www.computershare.com/investor to request a physical stock certificate for your shares. If you wish to send your request in writing, please send it to Computershare at P.O. Box 505000, Louisville, KY 40233.
How do I transfer DRS shares?
The requirements for transferring DRS shares are the same as those for transferring certificated shares, except that with DRS, there is no certificate to surrender. Call Computershare at 1‐888‐552‐8493 or visit their website at www.computershare.com/investor to review the Direct Registration Transaction Form for more information.
How do I deliver my DRS shares to my broker?
You may authorize your broker to send an electronic instruction to Computershare to debit DRS shares from your account at Computershare and deliver them electronically to your account with your broker. You will need to provide your broker with the following information, most of which can be found on the enclosed Transaction Advice document: your Computershare account number, your social security number or taxpayer ID number, the name on your DRS account, the number of DRS shares to be delivered, and Computershare’s DTC number, 7807.
How do I purchase additional ZimVie stock?
You may purchase additional ZimVie stock at any time through a broker.
Does ZimVie intend to distribute dividends?
We currently intend to retain future earnings to finance the operation and expansion of our business. As a result, we do not expect to pay any cash dividend for the foreseeable future.
